This Terms and Conditions Agreement (the "Agreement") is entered into by and between Aleaf Labs Inc. ("Company," "we," "us," or "our"), a corporation organized under the laws of Ontario, Canada, with offices at [Insert Address], Toronto, Ontario, and you ("User," "you," or "your"), a visitor or customer of the website located at www.aleaflabs.com (the "Site").

WHEREAS, Company operates the Site offering natural health products ("Products");
WHEREAS, User desires to access and use the Site and purchase Products subject to the terms herein;
NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

1.1 Binding Contract. By accessing, browsing, or using the Site, including placing orders for Products, you affirmatively accept and agree to be bound by this Agreement, our Privacy Policy, and all applicable laws. If you do not agree, you must immediately cease all use of the Site.

1.2 Eligibility. You represent that you are at least 18 years of age, have legal capacity to enter this Agreement, and are not barred from using the Site under applicable law.

1.3 Modifications. Company may amend this Agreement at any time by posting the revised version on the Site. Your continued use constitutes acceptance. It is your responsibility to review periodically.

2.1 Order Process. All orders are offers to purchase. Company reserves the absolute right to accept, reject, cancel, or limit any order for any reason, including pricing errors, fraud suspicion, product unavailability, or compliance issues.

2.2 Pricing. All prices displayed in Canadian Dollars (CAD), exclusive of taxes, duties, and shipping. Prices subject to change without notice. You are responsible for all applicable taxes.

2.3 Payment Authorization. Payments processed via PCI-DSS compliant third-party gateways (e.g., credit cards, Apple Pay, Google Pay, PayPal). You authorize Company to charge your payment method and agree to pay all charges incurred. Company not liable for unauthorized charges due to your negligence or breach.

2.4 Order Confirmation. Order acceptance occurs upon email confirmation. Risk of loss transfers to you upon delivery to carrier.

3.1 Shipping. Delivery estimates provided; actual times vary by carrier/location. Company not liable for delays beyond control (e.g., weather, customs). International shipments may incur duties/taxes borne by you.

3.2 Returns Policy.

• Unopened Products: Return within 30 days of receipt for refund (shipping non-refundable).
• Opened Products: Non-returnable except for manufacturing defects; contact support@aleaflabs.com within 7 days.
• Refunds processed to original payment within 10-14 business days post-inspection.

3.3 Damaged/Defective. Report within 7 days with photos; replacements at Company's discretion.

NO OTHER WARRANTIES. Products sold "AS IS" except as expressly stated.

4.1 Natural Health Products. Products are dietary supplements approved under Canada's Natural Health Products Regulations (NHPR) with Natural Product Numbers (NPN). Labels reflect Health Canada-authorized claims only. Not intended to diagnose, treat, cure, or prevent any disease.

4.2 Required Disclosures.

• NOT FDA EVALUATED: Statements not evaluated by U.S. FDA. Comply with Canadian law; U.S. import/use at your risk.
• Consult Professional: Mandatory consultation with healthcare provider before use if pregnant, nursing, under 18, on medications, or with medical conditions.
• No Guarantees: Results vary based on individual factors. Discontinue if adverse effects occur.

4.3 Allergens. Products may contain/process allergens (e.g., soy, gluten, nuts). Review labels. Third-party tested for contaminants.

5.1 Ownership. All Site content, trademarks, logos, and materials are exclusive property of Aleaf Labs Inc. or licensors, protected by Canadian and international copyright/trademark laws.

5.2 Limited License. Granted revocable, non-exclusive license for personal, non-commercial use. No reproduction, distribution, or derivative works permitted.

6.1 Disclaimer of Warranties. EXCEPT AS REQUIRED BY LAW, SITE AND PRODUCTS PROVIDED "AS IS" WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6.2 Liability Cap. COMPANY'S MAXIMUM LIABILITY SHALL NOT EXCEED AMOUNT PAID BY YOU FOR THE PRODUCT(S) IN DISPUTE.

6.3 Exclusion of Damages. NO LIABILITY FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, HEALTH CLAIMS, OR PERSONAL INJURY FROM MISUSE.

6.4 Indemnification. You agree to indemnify, defend, and hold harmless Company, officers, directors, employees, and agents from all claims, losses, liabilities arising from your: (i) Site use; (ii) Product misuse; (iii) violation of this Agreement; or (iv) inaccurate health representations.

7.1 Governing Law. This Agreement governed exclusively by laws of the Province of Ontario and federal laws of Canada, without regard to conflicts principles.

7.2 Dispute Resolution.

• Informal Resolution: Notify support@aleaflabs.com within 30 days.
• Arbitration: All disputes resolved by binding arbitration under ADR Institute of Canada rules in Toronto, Ontario. No class actions or jury trials.
• Jurisdiction: Ontario courts for injunctive relief only.

8.1 Severability. Invalid provisions severed; remainder enforceable.

8.2 Entire Agreement. This constitutes the full understanding; supersedes prior agreements.

8.3 Force Majeure. No liability for delays due to events beyond control.

BY USING THE SITE, YOU ACKNOWLEDGE YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.
