This Terms and Conditions Agreement (the “Agreement”) is entered into by and between Aleaf Labs Inc. (“Aleaf Labs,” the “Company,” “we,” “us,” or “our”), a corporation organized under the laws of Ontario, Canada, and you (“User,” “you,” or “your”), a visitor or customer of the website located at www.aleaflabs.com (the “Site”).
By accessing, browsing, or using the Site, including purchasing products from us, you acknowledge that you have read, understood, and agree to be bound by this Agreement, our Privacy Policy, and any other policies referenced on the Site. If you do not agree to these terms, you should not use the Site.
1. Acceptance of Terms
1.1 Binding Agreement
Your access to and use of the Site constitutes your agreement to be bound by this Agreement and all applicable laws and regulations.
1.2 Eligibility
You represent that you are at least the age of majority in your province or territory of residence and have the legal capacity to enter into this Agreement.
1.3 Changes to This Agreement
We may update or modify this Agreement at any time by posting the revised version on the Site. Your continued use of the Site after any changes are posted constitutes your acceptance of the revised Agreement.
2. Orders, Pricing, and Payment
2.1 Product Availability and Order Acceptance
All orders placed through the Site constitute an offer to purchase our products. We reserve the right, in our sole discretion and to the extent permitted by law, to accept, reject, cancel, or limit any order for reasons including pricing errors, suspected fraud, product unavailability, or compliance concerns.
2.2 Pricing
All prices are listed in Canadian dollars unless otherwise stated. Prices are subject to change without notice. Applicable taxes, duties, and shipping fees may apply and are the responsibility of the customer.
2.3 Payment
We use secure third-party payment processors to handle transactions. By submitting your payment information, you authorize us and our payment processors to charge the full amount of your order, including applicable taxes, shipping, and fees.
2.4 Order Confirmation
An order is not considered accepted until you receive an order confirmation from us. We reserve the right to cancel any order before fulfillment if necessary.
3. Shipping, Returns, and Refunds
3.1 Shipping
We will make reasonable efforts to process and ship orders promptly. Delivery estimates are provided for convenience only and are not guaranteed. Delays may occur due to carrier issues, weather, customs processing, or other events beyond our control.
3.2 Returns
Unopened and unused products may be eligible for return within 30 days of delivery, subject to approval and provided the items are in original condition and packaging. Shipping charges are non-refundable unless required by law.
3.3 Opened or Used Products
For health and safety reasons, opened or used products are generally not eligible for return unless they are defective, damaged, or otherwise required to be accepted under applicable law.
3.4 Refunds
Approved refunds will be issued to the original payment method within a reasonable period after the returned product has been received and inspected.
3.5 Damaged or Defective Items
If you receive a damaged or defective product, please contact us within 7 days of delivery with your order details and supporting photos so we can review the matter.
4. Product Information and Health Notices
4.1 Natural Health Products
Our products are intended to support general health and wellness. Where applicable, they are sold in accordance with Canada’s Natural Health Products Regulations and may include a Natural Product Number (NPN).
4.2 Not Medical Advice
The information provided on the Site is for informational purposes only and is not intended to diagnose, treat, cure, or prevent any disease. Our products are not a substitute for professional medical advice, diagnosis, or treatment.
4.3 Individual Results May Vary
Results may vary from person to person depending on factors such as diet, exercise, health status, and consistent use.
4.4 Consult a Healthcare Professional
You should consult a qualified healthcare professional before using any supplement, particularly if you are pregnant, nursing, under 18, taking medication, or managing a medical condition.
4.5 Allergens and Sensitivities
Products may contain or be manufactured in facilities that process common allergens such as soy, dairy, gluten, nuts, or shellfish. Please review product labels carefully before use.
4.6 Regulatory Notice
Where applicable, statements on the Site are intended to comply with Canadian requirements. These statements have not been evaluated by the U.S. Food and Drug Administration.
5. Intellectual Property
5.1 Ownership
All content on the Site, including text, graphics, logos, images, product names, designs, and other materials, is the property of Aleaf Labs Inc. or its licensors and is protected by applicable intellectual property laws.
5.2 Limited License
We grant you a limited, revocable, non-exclusive, and non-transferable license to access and use the Site for personal, non-commercial purposes only.
5.3 Restrictions
You may not copy, reproduce, distribute, modify, publicly display, or create derivative works from any content on the Site without our prior written consent.
6. Disclaimers and Limitation of Liability
6.1 Disclaimer of Warranties
Except where prohibited by law, the Site and all products are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
6.2 Limitation of Liability
To the fullest extent permitted by law, Aleaf Labs Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the use of the Site or our products.
6.3 Maximum Liability
Where liability cannot be excluded, our total liability shall not exceed the amount paid by you for the product or service giving rise to the claim.
6.4 Use of Products
You are solely responsible for using our products in accordance with all directions, warnings, and instructions provided on the label or Site.
7. Indemnification
You agree to indemnify, defend, and hold harmless Aleaf Labs Inc., its directors, officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses arising out of your misuse of the Site or products, your breach of this Agreement, or your violation of any applicable law or third-party rights.
8. Governing Law and Dispute Resolution
8.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
8.2 Informal Resolution
Before beginning formal proceedings, you agree to contact us at support@aleaflabs.com so we may attempt to resolve the issue informally.
8.3 Arbitration
To the extent permitted by law, any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in Toronto, Ontario, under the applicable rules of the ADR Institute of Canada.
8.4 Class Action Waiver
Where permitted by law, disputes shall be brought on an individual basis and not as part of a class or representative action.
8.5 Injunctive Relief
Nothing in this Agreement limits either party’s right to seek injunctive or equitable relief in a court of competent jurisdiction where appropriate.
9. Miscellaneous
9.1 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
9.2 Entire Agreement
This Agreement, together with our Privacy Policy and any other policies posted on the Site, constitutes the entire agreement between you and Aleaf Labs Inc. regarding your use of the Site and our products.
9.3 Force Majeure
We shall not be liable for any delay or failure in performance caused by events beyond our reasonable control.
